ZRP says one of the factors in its success
is its expertise and diversification. The
firm has four senior partners and three
junior partners. All four senior partners are at
the top of their field. Zamfirescu (litigation,
arbitration, and intellectual property), Racoti
(mergers and acquisitions, corporate finance,
capital market, energy), Tirnoveanu (litigation,
banking, bankruptcy) and Predoiu (corporate,
regulatory, private equity) are recognised by
peers and clients as leaders in their profession.
In 2005, the company as it exists today was
formed when Calin Zamfirescu si Asociatii
merged with Racoti–Predoiu. Calin Zamfirescu
si Asociatii was at the top of litigation practice,
while Racoti–Predoiu was in the same position
when it came to mergers and acquisitions. The
complementary nature of the two companies’
services, coupled with the same levels of excellence
and reputation, created an opportunity for
corporate clients to be served by one known firm,
instead of dealing with several different firms in
different core practices. The merger also created
synergies, which mean ZRP’s lawyers have
access to much more know–how than you would
expect to find with other law firms. ZRP’s ability
to cover a wide range of issues is obvious from
the range of legal services it offers. Its main areas
of expertise are:
Aviation – ZRP helped a Romanian airline
company in the acquisition and acquisition
finance for two Boeing airframes and engines
(including assistance with state aid and the
licensing process) and helps a foreign airline with
operations in Romania (including organising its
business and agreements with pilots).
Bankruptcy and Reorganisation – Assisting
creditors and debtors with bankruptcy or
re–organisation procedures.
Banking and Finance – ZRP offers advice on
banking regulations, compliance processes,
standardisation of banking papers and
documents, corporate banking and credit
facilities. ZRP can also help with the
structuring and implementation of large finance
transactions, including cross–border financing,
acquisition finance, corporate and trade finance,
and leveraged finance.
Capital Markets – Advice in preparing listing
and de–listing projects, including those that
have come about because of a merger, both in
Romania and abroad. ZRP helped with the only
Initial Public Offer (IPO) so far of a Romanian
company listed on the London Stock Exchange,
first market, successfully floated for around
500m.
Competition – Handling assessments regarding
the impact of competition regulations on a
client’s business, including as a consequence of
an acquisition or merger. ZRP also represents
clients in front of regulators and watchdogs in
any type of procedure and investigation.
Corporate Commercial – ZRP has a large
portfolio of services in this area, from drafting
commercial agreements, structuring large
scale transactions, to labour law, environment
protection law and basic tax issues.
Energy & Natural Resources – providing
assistance in drafting energy supply agreements,
legal opinions and advice on specific regulations,
assistance and representation in negotiating
energy supply agreements.
Mergers & Acquisitions – carrying out legal due
diligence of target companies, assessing the risk
of transactions, structuring the transactions,
identifying and providing legal solutions for
deal–breaker issues. ZRP also helps clients with
transactions for both listed and unlisted companies,
and provides legal advice on takeovers, mergers,
spin–offs and equity. The firm has also been
involved in the privatisation of several major
state–owned enterprises.
Project Finance and Infrastructure – ZRP
has acted on several major domestic and
international projects in this field.
